Effective date: July 28, 2026. These Terms of Use and End User License Agreement ("Terms") are a binding agreement between you and People Capital Management LLC. ("Needlephile," "we," "us," or "our"), governing your use of the Needlephile application and website at needlephile.com (together, the "Service"). By creating an account, logging in, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
You must be at least 18 years old to create an account and use the Service. By using the Service, you represent that you are 18 or older, that the information you provide is accurate, and that you will keep it current. You are responsible for all activity under your account and for keeping your login credentials secure.
Needlephile is a barter community for record collectors. Members catalogue their collections, build wantlists, and are matched with other members to trade records for records. Needlephile is not a store, marketplace, auction site, or payment processor. We do not sell records, we do not facilitate sales for money, and we are not a party to any trade between members. No selling. The Service is for non-monetary barter only. You may not use the Service to sell records, solicit cash payment, or arrange monetary transactions in place of or in addition to a trade. Attempting to do so may result in removal from the Service.
Needlephile does not hold, escrow, inspect, ship, insure, or guarantee any item, and is not responsible for any trade. Trades are arranged and completed solely between members. You acknowledge and agree that: • You are solely responsible for evaluating any trade, any counterparty, and the condition of any item before agreeing to trade. • Item condition and grading (including any Goldmine-standard grade, media/sleeve condition, and photos) are represented by members, not verified by Needlephile. • You are responsible for shipping, packaging, tracking, customs, and any loss or damage in transit. We recommend both parties ship with tracking. • Any reference value shown in the Service (including from third-party data) is an estimate for convenience only and is not an appraisal, guarantee, or offer. • Any dispute arising from a trade is between the members involved. We may, but are not obligated to, assist, mediate, suspend, or remove members in connection with disputes.
Needlephile has zero tolerance for objectionable content and abusive behavior. By using the Service you agree that you will not post, send, or share content, or engage in conduct, that is: • Harassing, abusive, threatening, bullying, hateful, or that targets any person or group. • Sexually explicit, obscene, or exploitative; or that sexualizes, endangers, or harms minors in any way. • Violent, that incites violence, or that promotes illegal acts. • Discriminatory based on race, ethnicity, religion, sex, gender, sexual orientation, disability, or any protected characteristic. • Defamatory, fraudulent, deceptive, or a scam (including bad-faith trades). • Infringing on anyone's intellectual property, privacy, or other rights. • Spam, solicitation, malware, or otherwise disruptive to the Service or its members. Enforcement. We reserve the right to remove any content and to suspend or terminate any account, without notice, for any violation of these Terms. We aim to review reported content and act on it promptly, and content found to be objectionable may be removed and the responsible user ejected.
The Service provides tools to keep the community safe. You can: • Report / flag any post, message, or user you believe violates these Terms. Reports are sent to us for review. • Block any user. Blocking immediately removes that user's content from your view and prevents them from contacting you. We may use automated and human moderation, act on reports, remove content, and suspend or ban users at our discretion. We may notify appropriate authorities where we believe there is a risk of harm or a violation of law.
You retain ownership of the content you post (collection data, wantlists, messages, feed posts, images). By posting, you grant Needlephile a non-exclusive, worldwide, royalty-free license to host, store, display, and use that content solely to operate and improve the Service. You represent that you have the rights to the content you post and that it does not violate these Terms or any law.
Premium subscription. Certain features require a paid subscription. Subscriptions are purchased and managed on the NeedlePhile website at needlephile.com through our third-party payment processor, and are billed by that processor — not through Apple or Apple In-App Purchase. Subscriptions are auto-renewing: they renew automatically at the end of each billing period unless canceled at least 24 hours before the end of the current period. The renewal price is $4.99 per month. You can manage or cancel your subscription at any time by signing in to your account at needlephile.com. Prices are shown at the point of purchase. Founder membership. From time to time, we may grant founder or charter membership benefits (including complimentary or lifetime premium access) to eligible early members. These benefits are granted by us directly, are subject to eligibility criteria we define, are non-transferable, have no cash value, and may be modified or revoked in cases of abuse or violation of these Terms. Refunds. Purchases made through our web payment processor are subject to prorated amounts based on billing cycle.
The Service may let you sync data from or interact with third-party services such as Discogs. Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services, and third-party data (including catalog and pricing data) is provided "as is" without warranty.
Our collection and use of personal information is described in our Privacy Policy at https://needlephile.com/legal?tab=privacy. By using the Service, you agree to the practices described there. Because trades involve exchanging shipping information between members, you understand that completing a trade requires sharing certain contact or address details with your counterparty.
The Service, including its software, design, and trademarks, is owned by Needlephile and its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use. You may not copy, modify, reverse-engineer, resell, or create derivative works from the Service.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any trade, match, or valuation will be accurate, safe, or successful. You use the Service and engage in trades at your own risk.
To the maximum extent permitted by law, Needlephile and its owners, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, goods, profits, or items, arising from or related to your use of the Service or any trade between members. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or US $100.
You agree to indemnify and hold harmless Needlephile and its owners and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, your trades, or your violation of these Terms or any law or third-party right.
We may suspend or terminate your access to the Service at any time, with or without notice, for any violation of these Terms or to protect the Service or its members. You may stop using the Service and delete your account at any time. Sections that by their nature should survive termination (including Sections 3, 11, 12, and 13) will survive.
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Wyoming, and you consent to their jurisdiction.
We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by other reasonable means. Your continued use of the Service after changes take effect means you accept the revised Terms.
